Terms of Sale
Version 2026-10 · Last updated: October 2026. These terms govern the subscription to the Gisel platform by our professional customers.
1Provider identification
GISEL SOFTWARE, a limited liability company (SARL) with share capital of €1,000, registered with the Nanterre Trade and Companies Register (RCS) under no. 108 718 362, with its registered office at 7 rue du Fossé de l'Aumône, 92600 Asnières-sur-Seine, France (hereinafter “Gisel”). Contact: contact@gisel.io.
2Purpose and scope
These Terms of Sale govern the subscription by professional customers to the Gisel SaaS platform (template generation, CV transformation, CV Library, AI matching). They supplement the Terms of Use and the data processing agreement (DPA). In the event of conflict, the order of precedence is: signed order form, DPA for personal data, these Terms of Sale, Terms of Use.
3Orders and formation of the contract
The contract is concluded upon signature of the order form or explicit electronic confirmation of the order, after presentation of the total price, billing frequency, options and these Terms of Sale. Evidence of acceptance is retained. The free trial, with no bank card required, does not result in any automatic paid subscription.
4Plans and pricing
Reference monthly prices (excluding taxes, subject to the prices confirmed at the time of order): Starter €99.99 (30 coins/month); Growth €149.99 (50 coins/month); Ultimate €249.99 (100 coins/month); Custom on quotation. Included features and options are those shown in the accepted order summary. Initial custom template: €29.99 as a one-off payment, subject to the price displayed and applicable taxation. Additional options and packs are billed at the prices shown before the order is confirmed. All prices are exclusive of taxes: VAT at the applicable rate (20% in France) is added based on the billing address and VAT number provided by the customer.
5Term, annual “1 month free” offer and renewal
The customer chooses a monthly or annual subscription when ordering. For an eligible annual subscription, Gisel grants twelve (12) months of access for the price of eleven (11) monthly payments at the reference monthly price of the chosen plan, i.e. an effective discount of 8.33% over twelve monthly payments. All eleven monthly payments are invoiced and payable in advance upon annual subscription; the twelfth month of access does not result in any additional charge. For information, excluding options and template: Starter €1,099.89 excl. VAT/year; Growth €1,649.89 excl. VAT/year; Ultimate €2,749.89 excl. VAT/year. The promotion cannot be combined with any other discount unless agreed in writing. The annual subscription is a one-time payment and is not automatically renewed: access ends at the end of the twelve (12) months paid, and the customer may subscribe again manually if it wishes to continue. The monthly subscription renews automatically each month until terminated. The customer may also choose, when ordering, a monthly plan with commitment, offered at a reduced price: it renews automatically and cannot be terminated during the subscription, under the conditions and for the duration displayed before confirmation. Plan changes: an upgrade to a higher plan takes effect immediately and the customer immediately pays the price difference; a downgrade is scheduled for the next renewal and requires automatic renewal to be enabled. For an annual subscription, downgrading is not available online and must be requested at contact@gisel.io.
6Billing and payment
The monthly subscription is invoiced at the beginning of each monthly period. The annual subscription with one month free is invoiced in a single payment upon subscription, for an amount corresponding to eleven monthly payments, payable immediately by the payment method accepted at the time of order. No instalment direct debits are provided for this offer, unless otherwise agreed in writing. Recurring options and packs are invoiced according to the terms and amounts displayed before confirmation; the annual discount does not automatically extend to options, CV packs or the initial template. In the event of late payment between professionals, late payment penalties are due automatically, at a rate of three (3) times the legal interest rate, together with the fixed recovery indemnity of €40, without any reminder being necessary.
7Quotas and features
Quotas are expressed in coins and are monthly and non-transferable unless otherwise stated in the order form. One coin corresponds to the processing of one CV: processing a CV means an operation consuming one unit according to the rules displayed before execution; errors attributable to the service must not permanently consume the quota. Options and limits may vary by plan. Gisel may evolve the service without substantially removing paid-for features during a contractual period, except for a legitimate reason and with prior notice.
8Customer obligations
The customer holds the rights and legal bases necessary to import CVs, candidate data, documents and tenders. It informs data subjects in accordance with the GDPR, controls its users' access rights and checks the generated results before sending them to its own clients. It shall not make any unlawful use or use that infringes third-party rights.
9Confidentiality and no competition on data
Gisel undertakes not to sell, rent, solicit or contact candidates and consultants on the basis of data entrusted by a customer, not to pass such data to any third-party IT services company (ESN), and not to exploit it for its own recruitment or placement activities. Human access to content is limited to authorised persons, for strictly necessary, documented and controlled purposes (support on request, security, legal obligation). Authorised personnel and subcontractors are bound by confidentiality.
10Personal data and security
For CVs and data processed on behalf of the customer, the customer acts in principle as controller and Gisel as processor. The parties conclude the DPA provided for in Article 28 of Regulation (EU) 2016/679. Gisel applies appropriate technical and organisational measures, including access control, logical segregation, encryption of communications (HTTPS/TLS), logging and backups, within the documented limits of its architecture as actually deployed.
11Retention, deletion and reversibility
Outside the CV Library, documents are deleted after processing and delivery, within the operational timeframes specified in the DPA, including for temporary copies. With the CV Library, documents are retained on the customer's instruction until deletion or expiry of the applicable contractual period. At the end of the contract, Gisel allows data export for thirty (30) days, then deletes active data at the end of that period and backups according to their documented rotation cycle, unless otherwise required by law. Data needed for invoicing may be retained separately as required by law.
12Artificial intelligence
AI functions produce automated suggestions that may contain errors or biases. The customer remains responsible for validating CVs and for recruitment decisions. No matching score constitutes a guarantee of suitability. Customer data may not be used to train models on behalf of Gisel or its providers without specific documented instruction and agreement.
13Intellectual property
Gisel retains its rights in the platform, code, models and trademarks. The customer retains the rights it holds in its documents, data, logos and content. Subject to third-party rights and payment, the customer may use, reproduce and export the templates and documents generated for its professional needs. No transfer of the software is granted.
14Availability, maintenance and support
Gisel has an obligation of reasonable means regarding the availability and security of the service. Scheduled maintenance is announced where possible. Specific service levels and support response times are solely those stated in any order form or SLA.
15Liability
Each party is liable for proven direct damages resulting from its breaches. To the extent permitted by law, Gisel's contractual liability is capped at the amounts, excluding taxes, actually paid by the customer during the twelve months preceding the event giving rise to liability. This cap does not apply in cases of wilful misconduct, gross negligence, intentional breach of confidentiality, or liabilities that cannot lawfully be limited. Indirect damages are excluded to the extent permitted by law.
16Termination
The customer may request non-renewal at any time from its customer area or in writing at contact@gisel.io; it takes effect at the end of the paid period. The monthly plan with commitment is excluded from this right for the duration of the commitment. No pro rata refund is due in the event of termination for convenience, unless mandatory provisions or a contrary commercial commitment apply. In the event of a serious breach not remedied within 30 days of a formal notice, the other party may terminate the contract, without prejudice to its other rights.
17Changes to prices and Terms of Sale
Any price change applicable at renewal is announced at least 30 days before the due date and does not apply retroactively to a period already paid. Any substantial change to these Terms of Sale is notified on a durable medium; the customer may refuse the new terms by terminating the contract at the due date, subject to mandatory rights.
18Governing law and disputes
French law applies. The parties first seek an amicable solution for 30 days. Subject to mandatory jurisdiction rules, any dispute between merchants falls under the competent courts of Nanterre. If the customer is not a merchant, the statutory jurisdiction rules apply.
19Signature and acceptance
The signatory acknowledges having received and accepted these Terms of Sale and, where applicable, the DPA and the order form. Electronic signature is accepted in accordance with applicable legal rules.
